Venue Partner Terms of Service

1. Partnership Overview

By becoming a Venue Partner, you agree to provide physical space for tabletop gaming sessions organized through our Platform. This partnership is mutually beneficial:

• You provide space and basic amenities
• We handle booking, payments, and session management
• You receive revenue according to your pricing model
• We drive foot traffic to your venue

2. Venue Partner Responsibilities

2.1 Space and Facilities

You agree to:

• Provide clean, safe, and accessible table space as agreed
• Ensure adequate lighting, temperature control, and seating
• Maintain ADA compliance and accessibility standards
• Provide access to restrooms
• Handle facility-related emergencies (fire, HVAC failure, etc.)
• Notify us immediately of any space availability changes

2.2 Session Support

During sessions, you agree to:

• Allow Organizers and participants to use reserved space
• Assist with conflicts or disruptions if requested
• Enforce your venue's rules (food/drink policies, noise levels, etc.)
• Not interfere with ongoing sessions
• Allow reasonable setup time before session start

2.3 Scheduling and Availability

• Maintain accurate availability in our system
• Provide at least 7 days notice for schedule changes when possible
• Honor all confirmed bookings unless emergency circumstances arise
• Communicate holiday closures or special events in advance

2.4 Cancellation by Organizers

If an Organizer cancels a session at your venue:

• Standard cancellations result in no payment to you for that session
• Late cancellations (within the notice window specified in your agreement) may incur a cancellation fee paid to you
• Cancellation penalty amounts and notice windows are defined in your specific partnership agreement

3. Financial Terms

3.1 Pricing Models

Your partnership will use one of these models:

• Revenue Share: You receive an agreed percentage of token revenue from sessions at your venue (e.g., 50/50 split)
• Fixed Fee: You receive a monthly minimum plus per-session or per-table fees
• Custom: A mutually agreed arrangement documented separately

3.2 Revenue Calculation

• Revenue is calculated from finalized sessions only
• Promotional tokens do not count toward revenue calculations
• Canceled sessions generate no revenue
• Revenue sharing applies only to the token cost, not any Venue-specific fees you may charge directly

3.3 Payment Terms

• Payments are settled monthly via your preferred method
• You will receive a detailed transaction report
• Minimum payout threshold may apply (typically $25)
• You are responsible for all applicable taxes
• We reserve the right to withhold payment during fraud investigations

3.4 No Minimum Guarantees

3.5 Direct Venue Fees

You may charge participants directly for:

• Food and beverages
• Game rentals or materials
• Special amenities
• Parking (if applicable)

Such fees must be disclosed to participants in advance and are not part of our revenue sharing.

4. Platform Responsibilities

Oneshot Incarnate will:

• Handle all session booking and scheduling through the Platform
• Process token payments from Users
• Provide tools to manage your venue availability
• Handle customer support for booking-related issues
• Provide financial reporting
• Send reminders to Organizers and participants
• Process refunds for canceled sessions
• Market the Platform to drive traffic to your venue

5. Conduct and Community Standards

5.1 Welcoming Environment

You agree to:

• Maintain an inclusive, welcoming atmosphere
• Not discriminate based on race, gender, orientation, religion, or other protected characteristics
• Handle complaints about behavior professionally
• Support our community guidelines and code of conduct

5.2 Problem Resolution

• Contact us about serious issues (harassment, safety concerns, property damage)
• You may ask disruptive individuals to leave your venue
• Document incidents for our records
• We will investigate and take appropriate action against Users

6. Intellectual Property and Branding

• You grant us permission to list your venue on the Platform
• We may use your venue name, photos, and logo for marketing
• You may display Oneshot Incarnate branding materials in your venue
• Neither party may misrepresent the partnership
• You retain all rights to your venue name and branding

7. Liability and Insurance

7.1 Venue Liability

• You are responsible for injuries or property damage at your venue
• You must maintain appropriate business insurance
• You are responsible for compliance with local health and safety codes
• We are not responsible for your venue's operations or incidents

7.2 Platform Liability

• We are not responsible for User behavior at your venue
• We do not guarantee minimum revenue or session bookings
• We are not liable for technical issues affecting bookings
• Our liability is limited as specified in the general Terms of Service

8. Data and Privacy

• We will share necessary booking information (Organizer name, session time, participant count)
• You must keep User information confidential
• You may not use User data for your own marketing without consent
• Both parties comply with applicable privacy laws

9. Term and Termination

9.1 Partnership Duration

• This partnership continues until terminated by either party
• Either party may terminate with 30 days written notice
• We may terminate immediately for cause (breach of terms, safety issues, etc.)

9.2 Effect of Termination

Upon termination:

• All future bookings at your venue will be canceled
• Existing bookings may be honored or relocated at our discretion
• Outstanding payments will be settled within 30 days
• You must remove Oneshot Incarnate branding from your venue
• Users will be notified of the venue closure

10. Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including:

• Natural disasters, severe weather, or acts of God
• Government actions, orders, or restrictions
• Pandemics, epidemics, or public health emergencies
• Utility failures, internet outages, or infrastructure issues
• Civil unrest, strikes, or labor disputes

Affected parties must notify the other promptly and make reasonable efforts to resume normal operations.

11. Changes to Venue Terms

• We may update these Venue Terms with 30 days notice
• Material changes to financial terms require your acceptance
• Continued partnership after changes constitutes acceptance
• You may terminate the partnership if you don't accept changes

12. Dispute Resolution

Disputes will be resolved according to the dispute resolution provisions in the general Terms of Service. We encourage informal resolution before formal proceedings.

13. Entire Agreement

These Venue Terms, together with:

• The general Terms of Service
• Our Privacy Policy
• Any specific pricing agreement
• Written communications about your partnership

constitute the entire agreement between you and Oneshot Incarnate regarding your venue partnership.
